These Terms of Service (hereinafter referred to as the "Terms") constitute a legally binding agreement between you (hereinafter referred to as "you", "your", or "User") and the NanoDoc development team (hereinafter referred to as "we", "us", or "our") governing your access to and use of the NanoDoc document parsing services, which are available through the following two deployment modes:
The Cloud API Mode and the Private Deployment Mode are collectively referred to as the "Services", and individually as a "Service". The Cloud API Mode is also referred to as the "Cloud API Service", and the Private Deployment Mode is also referred to as the "Private Deployment". The separate written agreement governing a Private Deployment is referred to as the "Offline Agreement".
BY ACCESSING, DEPLOYING, OR USING ANY OF THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO ANY PART OF THESE TERMS, YOU SHALL IMMEDIATELY CEASE ALL USE OF THE SERVICES.
To ensure consistent interpretation, the following definitions shall apply throughout these Terms:
Cloud API Service: Refers to the cloud-based API service provided by us, through which Users transmit documents to our servers for parsing and receive structured Markdown and JSON data via API responses.
Private Deployment: Refers to a NanoDoc deployment instance, including its container images, model packages, configuration modules, and official supporting documentation, that we make available to you for installation and operation within your own infrastructure under an Offline Agreement.
Services: Refers collectively to the Cloud API Service (Cloud API Mode) and the Private Deployment (Private Deployment Mode).
User Output: Refers to all structured data, including but not limited to Markdown, JSON, text parsing results, and converted files, generated by the Services processing User-input source documents.
Account: Refers to the registered account created by a User to access the Cloud API Service, including authentication credentials, API keys, and associated billing information.
API Key: Refers to the unique authentication credential issued to a User for accessing and authenticating requests to the Cloud API Service.
Customer Environment: Refers to the infrastructure you control, including private cloud networks, on-premise servers, storage, and operating systems, in which a Private Deployment is installed and operated.
Third-Party Services: Refers to external artificial intelligence API services and related technical capabilities provided by independent third-party vendors, including but not limited to OpenAI and Anthropic, that the Services can connect to.
Subject to your strict compliance with all provisions of these Terms and applicable national and regional laws, we grant you the following rights:
A limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and call the Cloud API Service for your legitimate internal business operation purposes within your own organization, subject to your compliance with your selected pricing plan, rate limits, and these Terms.
A Private Deployment is made available exclusively under an Offline Agreement executed between you and us. These Terms do not grant any right to install, deploy, or operate a Private Deployment. Your rights and obligations in respect of a Private Deployment — including deployment scope, permitted environment, term, fees, support, updates, and termination — are governed solely by that Offline Agreement. In the event of any conflict between these Terms and your Offline Agreement, the Offline Agreement shall prevail.
You expressly agree not to perform the following prohibited acts with respect to either Service:
You shall bear full legal responsibility for all usage behaviors and data involved in your use of the Services:
Cloud API Mode: You are responsible for safeguarding your API Key and Account credentials. You must implement reasonable security measures to protect your API Key from unauthorized access, including but not limited to storing it securely, using environment variables or secret management tools, and rotating keys periodically. You shall be fully responsible for all API calls made using your API Key, whether authorized by you or not, except where the unauthorized use results from our own security failure. You must notify us immediately upon discovery of any unauthorized use or compromise of your API Key or Account.
Private Deployment Mode: You are solely responsible for provisioning, configuring, and securing the Customer Environment in which the Private Deployment operates, including hardware resources, operating systems, network access controls, storage encryption, identity and access management, and backup. You are responsible for protecting all input documents, output data, configuration files, and credentials within the Customer Environment, and for preventing unauthorized access, leakage, tampering, or loss of such data. We shall not be liable for any security risk arising from your configuration, operation, or inadequate protection of the Customer Environment.
You represent and warrant that you have complete legal ownership or legitimate authorization rights for all documents, files, and data uploaded, imported, and processed through the Services. You undertake not to input, process, or generate any content that violates applicable laws, regulations, and public order and good customs, including but not limited to illegal, pornographic, violent, terrorist, infringing intellectual property rights, personal sensitive privacy data, and confidential information of any third party.
You shall not use the Services to engage in any illegal, improper, or infringing activities, including but not limited to network attack behavior, unauthorized data crawling, illegal information processing, commercial fraud, and any behavior that damages the legitimate rights and interests of us or any third party. You shall fully compensate us for all losses, fines, and legal liabilities arising from your violation of the above provisions.
The following terms apply specifically to the Cloud API Mode:
To use the Cloud API Service, you must register for an Account. You represent and warrant that the information provided during registration is accurate, complete, and current. You must be at least 18 years of age to register an Account. You are responsible for maintaining the accuracy of your Account information and updating it as necessary.
Upon registration, you will be issued one or more API Keys. You are responsible for the security and proper use of your API Keys. You may generate, revoke, and rotate API Keys through your Account dashboard. We reserve the right to revoke or suspend any API Key that we believe has been compromised or is being used in violation of these Terms.
The Cloud API Service is subject to rate limits and usage quotas as specified in your selected pricing plan. You shall not attempt to circumvent these limits through technical means, including but not limited to creating multiple Accounts, rotating API Keys, or distributing requests across multiple endpoints. We reserve the right to throttle, suspend, or terminate access for Users who exceed fair use thresholds or attempt to abuse the service.
Use of the Cloud API Service may be subject to fees as described in your selected pricing plan. You agree to pay all applicable fees for your usage. Fees are billed based on actual API usage, including but not limited to the number of documents processed, pages parsed, and API calls made. Payment terms, invoicing cycles, and pricing details are specified in your pricing plan and are incorporated herein by reference. Unless otherwise stated in your pricing plan, all fees are non-refundable.
We strive to maintain the Cloud API Service's availability but do not guarantee uninterrupted or error-free service. We may temporarily suspend the service for scheduled maintenance, upgrades, or emergency fixes with reasonable prior notice where feasible. We are not liable for downtime, service interruptions, or degraded performance caused by factors beyond our reasonable control, including but not limited to internet connectivity issues, third-party cloud provider outages, force majeure events, or your own network or system failures.
All matters relating to a Private Deployment — including deployment scope, permitted environment, capacity, term, fees, support, updates, and termination — are governed solely by the Offline Agreement executed between you and us. Nothing in these Terms grants any deployment right, and these Terms shall not be read as expanding or limiting the scope agreed in that Offline Agreement.
Because the Private Deployment operates entirely within the Customer Environment, you are the controller of all data processed by it. You are responsible for installing, configuring, securing, and operating the Private Deployment within that environment. We have no ability to access, monitor, or retrieve documents, processing results, or operational data held within the Customer Environment, except where you expressly grant us temporary access for support or troubleshooting purposes. Any access you grant is limited in scope and duration to the purpose you authorize, and you may revoke it at any time.
Your use of the Private Deployment does not involve the transmission of document content or parsing results to us. We do not collect, transmit, store, or process any document content arising from a Private Deployment under any circumstance.
We attach great importance to your data privacy and security. The data handling practices vary depending on the deployment mode you use:
When you use the Cloud API Service, you acknowledge and agree that:
When you use the Private Deployment, you acknowledge and agree that:
In the event of a confirmed data breach affecting your documents or personal information processed through the Cloud API Service, we will notify affected Users without undue delay, and in accordance with applicable legal requirements. For the Private Deployment Mode, we do not hold or process your data; you are responsible for managing security incidents and any associated notification obligations within the Customer Environment.
The Services support optional connection and invocation of third-party AI service APIs. The use of all third-party services is subject to the following provisions:
Independent Legal Relationship: Your use of third-party API services is subject to the separate service agreements, privacy policies, and billing rules of the corresponding third-party vendors. We are not a partner or agent of any third-party service provider, and there is no joint and several liability relationship.
Fee Responsibility: All service fees, over-limit charges, subscription fees, and additional incidental costs incurred by your invocation of third-party APIs shall be borne solely by you. We shall not be liable for any unexpected fees, price adjustments, billing disputes, or deduction disputes arising from your use of third-party services.
Third-Party Service Risks: We reserve the right to adjust or cancel the adaptation support for any third-party API at any time without prior notice. We shall not be responsible for service suspension, failure, delay, error, rate limit, price adjustment, or service termination of any third-party platform.
Third-Party Components: The Private Deployment may include third-party open-source components and model packages. Such components are licensed under their own licenses, which are listed in the accompanying documentation. Your use of them is subject to those licenses.
All intellectual property rights of the Services, including but not limited to source code, container images, model weights and packages, operation algorithms, functional logic, API designs, trademarks, logos, product names, official documentation, and interface design, are exclusively owned by us and our licensors. All rights not expressly granted to you in these Terms are fully reserved by us. No license or right to use our trademarks, brands, or visual logos is granted implicitly.
We do not claim any ownership, possession, or intellectual property rights over the User Output generated by you using the Services. All structured files, parsing results, and converted data generated based on your legally authorized source files belong entirely to you.
Cloud API Mode: Your User Output is returned to you via API responses and is permanently deleted from our primary storage after delivery of the API response, with any residual backup copies securely deleted in accordance with our standard backup retention schedule. We will not access, use, or share your User Output for any purpose other than delivering the API response to you, except where required by law.
Private Deployment Mode: Your User Output is generated and retained exclusively within the Customer Environment. We will not use, occupy, or authorize third parties to use your User Output.
We reserve the right to independently release version iterations, function optimization, bug fixes, and updates to the Services at any time. The updated Services will continue to be governed by these Terms. For the Cloud API Service, updates and changes to the API may be deployed without separate notice; we will use commercially reasonable efforts to maintain backward compatibility but do not guarantee indefinite support for any specific API version. For the Private Deployment, updates are governed by the Offline Agreement.
We reserve the right to revise and update these Terms at any time according to product iteration and legal compliance requirements. Revised Terms will be published on our website and, for material changes, we will provide at least 30 days prior notice to registered Users and to customers with an active Private Deployment, except where changes are required by law. Your continued use of the Services after the update of the Terms constitutes your full acceptance of the revised provisions. You shall check the latest Terms regularly; if you do not agree with the revised content, you shall stop using the Services immediately.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY EXPRESS OR IMPLIED WARRANTIES OF ANY KIND. WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
We do not guarantee that all functional failures and defects of the Services will be repaired, and do not assume any guarantee obligations for User-specific usage scenarios.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER NANODOC NOR ITS DEVELOPERS, CONTRIBUTORS, AND AFFILIATES SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DATA LOSS, FILE CORRUPTION, SERVER DOWNTIME, HARDWARE FAILURE, BUSINESS INTERRUPTION, LOSS OF EXPECTED PROFITS, BUSINESS DATA LEAKAGE, AND ANY INDIRECT ECONOMIC LOSSES ARISING FROM THE USE OR INABILITY TO USE THE SERVICES.
THE TOTAL AGGREGATE LIABILITY OF US AND OUR RELATED PERSONNEL FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE CLOUD API SERVICE AND THESE TERMS SHALL NOT EXCEED THE TOTAL FEES YOU HAVE PAID TO US FOR THE CLOUD API SERVICE WITHIN THE THREE (3) MONTHS PRIOR TO THE CLAIM. FOR FREE TIER USAGE, OUR TOTAL LIABILITY SHALL BE ZERO.
THE TOTAL AGGREGATE LIABILITY OF US AND OUR RELATED PERSONNEL FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE PRIVATE DEPLOYMENT AND THESE TERMS SHALL NOT EXCEED THE TOTAL FEES YOU HAVE PAID TO US UNDER THE OFFLINE AGREEMENT WITHIN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM. WE SHALL NOT BE LIABLE FOR ANY LOSS ARISING FROM YOUR CONFIGURATION, OPERATION, OR MODIFICATION OF THE CUSTOMER ENVIRONMENT OR THE PRIVATE DEPLOYMENT.
The above liability limitations shall not apply to losses caused by our intentional misconduct, gross negligence, or violations of applicable data protection laws, as required by mandatory provisions of applicable laws.
These Terms shall take effect from the date you first access, deploy, or use any of the Services, and shall remain in force during your entire use of the Services.
We reserve the right to immediately suspend or terminate your right to use the Services without prior notice if you violate any provision of these Terms, including but not limited to unauthorized dissemination, reverse engineering, illegal use, API Key abuse, and other prohibited behaviors.
For the Cloud API Service, you may terminate your Account at any time by contacting us. Upon Account termination, your API Keys will be immediately revoked, and your access to the Cloud API Service will cease. Your documents and generated outputs will be permanently deleted in accordance with the data handling practices specified in Section 6.1 and our Privacy Policy.
For the Private Deployment, the term of use and the grounds for termination are governed by the Offline Agreement. Upon termination: (1) you shall immediately cease all use and operation of the Private Deployment; (2) you shall uninstall and permanently delete or destroy all container images, model packages, and copies of the deployment artifacts from the Customer Environment, and certify such deletion to us upon request; (3) you shall cease all API calls and destroy all API Keys; (4) the intellectual property protection clauses, liability limitation clauses, and dispute resolution clauses of these Terms shall continue to take effect.
Termination shall not exempt you from the legal liabilities and compensation obligations for breaches committed during the period of your use.
These Terms shall be governed by general international commercial law principles and universal legal practices, without reference to any specific state, country, territory, or conflict of law rules. For the Cloud API Service, the laws of the jurisdiction in which NanoDoc's servers are hosted shall additionally apply to matters relating to data processing, billing, and service availability. For the Private Deployment, the governing law and dispute forum specified in the Offline Agreement shall apply.
In the event of any dispute, controversy, or claim arising out of or relating to these Terms, the parties shall first resolve the matter through good-faith mutual negotiation. If negotiation fails, both parties agree to resolve the dispute through neutral international commercial arbitration conducted in English, in accordance with generally accepted international commercial arbitration rules, unless a different forum is specified in the Offline Agreement. The final arbitration result shall be binding on both parties.
Severability: If any single provision of these Terms is deemed invalid, illegal, or unenforceable by a competent judicial authority due to conflict with applicable laws, the invalidity of such provision shall not affect the validity and enforceability of the remaining provisions, which shall remain in full force and effect.
Waiver: No delay or failure by us to exercise any right, power, or remedy under these Terms shall constitute a waiver of such right. No single or partial exercise of any right shall preclude the exercise of other rights.
